GENERAL TERMS OF PERSEO SERVICES USAGE

Please take the time to read these conditions carefully before using Perseo Services. By using Perseo Services, you confirm your agreement to be bound by these applicable conditions. We offer a wide range of Perseo Services, and sometimes additional terms may apply on a time-to-time basis.

When you use PERSEO Services such as accessing your profile, coupon codes, or special offers that we may reserve only for you in any other area of the TV Portals, you will also be subject to the terms, guidelines, and conditions applicable to that PERSEO Service (“Service Term”).

General Procedure for Making Claims of Rights Infringements

1. PRIVACY

Please review our “Privacy Notice” and Internet Cookies & Advertising Policy, which also govern your use of PERSEO Services, to better understand our practices.

2. ELECTRONIC COMMUNICATIONS

When you use any PERSEO Services or you send emails, text messages, complete forms, and other communications from your PC desktop, laptop, or mobile device to us, you are communicating with us electronically. We will communicate with you electronically in a variety of ways, such as by e-mail, SMS text, or via our customer management support ticket platform. For contractual purposes, you agree to receive communications from us electronically, as well as to accept all agreements, notices, disclosures, and other communications that we provide to you electronically.

3. COPYRIGHT RULES

3.1 All contents available through any PERSEO Services, such as graphics, text, photos, videos, logos, button icons, images and so forth, are the property of PERSEO or its respective content suppliers, and are protected by UK and international copyright, authors’ rights, and database rights laws.

3.2 You are prohibited from copying or downloading any parts or content of PERSEO Services without our formal written consent. Any violation will be pursued to the maximum extent of the law.

4. TRADEMARKS

4.1 All TV Portals logos and brand names are registered trademarks owned by PERSEO with international copyright protection. In addition, any graphics, advertising images, video commercials, logos, header pages, buttons, scripts, and product names included in TV Portals and PERSEO Services are trademarks owned by PERSEO. All product images may be marked with a PERSEO watermark to be identified over the Internet and they may contain proprietary codes that allow us to find any of our images over the web.

4.2 PERSEO may grant some agents or referral partners the authorization to use some graphic images or video commercials for advertising, and only in this specific case, PERSEO will release written authorization that the affiliate partner may display on their website.

4.3 All violations of the above will be considered public offenses, and we will pursue formal actions to protect against illegitimate usage of our logos, brands, and patented trademarks.

5. LICENSE AND SERVICE ACCESS

5.1 Subject to your compliance with these General Terms of Usage and applicable Service Terms, and your payment of any applicable fees, PERSEO and/or its affiliate sales partner providers grant you a limited, non-exclusive, non-transferable license to access and make personal and non-commercial use of the PERSEO Services. This license does not include any resale or commercial use of any PERSEO Service or its contents; any collection and use of any product listings, video commercials on broadcast, descriptions, or prices; or copying or using your account information for the benefit of another merchant.

5.2 All rights not expressly granted to you in these General Terms of Usage are reserved and retained by PERSEO and its licensors, suppliers, rightsholders, or other affiliate providers.

5.3 You are not authorized to use “frame” technology to enclose any trademark, logo, or other proprietary information (including but not limited to images, text, page design, or model form) of PERSEO without our formal written consent. Furthermore, it is strictly prohibited to use any “meta tags” or “meta og” or any other "hidden text" referring to PERSEO or its Shopping TV names or trademarks without our direct written consent. We constantly monitor the misusage of our TV shopping names and trademarks and we reserve the right to request immediate removal from any website.

5.4 Any misuse or fraudulent usage of PERSEO Services will lead to immediate account closing, with further legal actions to be taken by our legal department. For the above reason PERSEO requests all its customers and affiliate partners to comply with the correctness guidelines set forth herein.

6. YOUR ACCOUNT

6.1 To access PERSEO Services you will need to register an electronic account choosing a unique USER Identification and password (hereinafter “access credentials”) that will be linked and controlled by the email address you provide during the registration process.

6.2 You will be responsible for keeping your access credentials strictly confidential on your PC, notebook, or any other devices you may use. You hereby agree, to the extent permitted by applicable law, to accept responsibility for all activities that occur under your account or password.

6.3 You should take all necessary steps to ensure that your password is kept confidential and secure. If you believe that your account may be compromised or hacked, please contact us immediately and we will take action right away. Our technical staff will immediately change your access credentials which will be sent to your authorized registered email address.

6.4 You are responsible for ensuring that all information you provide us with is correct and complete, and you are responsible for informing us about any changes to your information after the account registration and approval. You are free to update any data of your account information by accessing your client account area using your access credentials.

6.5 We reserve the right to refuse service, terminate accounts, remove or edit account content if: a) you breach applicable laws; b) you breach these General Terms of Usage; or c) you breach any other applicable terms and conditions, guidelines, or policies.

7. CUSTOMER AND SALES AFFILIATE PARTNER INTERACTION

7.1 We give full freedom to visitors and customers to post reviews, make comments, and communicate openly with us. We value your opinion and ideas. However, it is not permitted to post or submit reviews that are illegal, obscene, abusive, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise injurious to third parties; or external links to websites containing automatic downloadable software like spyware or viruses. It is also prohibited to use our comments area for political campaigning, commercial solicitation, social network links of any form, chain letters, mass mailings, or any form of spamming.

7.2 It is prohibited to use any fake e-mail address or impersonate any false person or entity. We reserve the right to remove or edit such content.

7.3 If you see in PERSEO Services any sale that may contain a defamatory statement, or that your intellectual property rights are being infringed by a sale listed in PERSEO Services, please notify us immediately and our staff will handle appropriate actions.

For all sales affiliate partners submitting advertising materials like photos, videos, and similar, they hereby grant to PERSEO a non-exclusive, royalty-free right to use such materials in Perseo Services listings, items, and “deals of the day” offers. You grant PERSEO the rights to use, reproduce, modify, transform, publish, and/or adapt your released materials to create marketing campaigns and display your offers inside PERSEO Services. It is agreed and understood that PERSEO will not assign or release your non-exclusive royalty-free use of materials to any third parties.

8. INTELLECTUAL PROPERTY CLAIMS

PERSEO respects the intellectual property of others. If you believe that your intellectual property rights are being infringed, please contact our customer management department. Our staff will take all reasonable efforts to handle your claim and, if applicable, close that deal listing. You will be requested to demonstrate that you are the legitimate owner of the related copyrights.

9. OTHER LINKED BUSINESS

Inside PERSEO TV Portals you may find a number of advertising links or graphic banners to promote other business activities of PERSEO, as well as other affiliate partners’ websites. For the latter, we are not responsible to verify the legitimate conduction of the business and we do not offer any guarantee to our viewers and customers. You should carefully review their general terms, conditions, and privacy statements before registering an account or placing orders with them.

10. PERSEO ROLE

10.1 PERSEO allows third-party suppliers and sales affiliate partners to display and sell their products inside PERSEO TV Portals. You will recognize the respective supplier partner products by accessing their seller listing page, or on each product detail page.

10.2 PERSEO is neither the buyer nor the seller of the suppliers’ partner items. Accordingly, the contract formed after a sale for these third-party products is solely between the buyer and the seller. PERSEO is not a party to the buy & sell order, nor does it assume any responsibility arising out of or in connection with it, nor is it the supplier’s agent.

10.3 Each partner supplier is responsible for the sale of the products and for dealing with any buyer claims or any other issue arising out of or in connection with the contract between the buyer and seller.

10.4 Based on the fact that PERSEO wants the buyer to have a safer buying experience, PERSEO selects only suppliers and partners who meet the highest standards of quality. We do not accept suppliers that do not match our standard policy.

10.5 For all the products or links that are marked with “Supplied by PERSEO” or “Seller PERSEO”, in this sole case we will be responsible for these sales and you will receive a PERSEO invoice to access your guarantee.

11. OUR LIABILITY

11.1 We will do our utmost to ensure the proper and uninterrupted services of our TV Portals to display the various deals, offers, and Perseo Services. On some occasions, you may find our TV Portals under update or with restricted user access when we need to update our TV Portals environment or database. In such cases PERSEO will display the date that will indicate when the TV Portals will be back online. We will attempt to limit the frequency and duration of any such suspension or restriction.

11.2 PERSEO will not be responsible for (a) losses that were not caused by any breach on our part; (b) any business loss (including profit loss, contracts, data, goodwill, or wasted expenditure); or (c) any direct or indirect losses that were not foreseeable to both you and us when you commenced using the PERSEO Services.

11.3 We will not be held responsible for any delay or failure to comply with our obligations under these conditions if the delay or failure arises from any cause which is beyond our reasonable control. The laws of some countries do not allow some or all of the limitations described above. If these laws apply to you, some or all of the above limitations may not apply to you and you might have additional rights.

11.4 Nothing in these conditions limits or excludes our responsibility for fraudulent representations made by us or for death or personal injury caused by our negligence or willful misconduct.

12. APPLICABLE LAW

These conditions are governed by and construed under the laws of the United Kingdom, and the application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded. We both agree to submit to the non-exclusive jurisdiction of the courts of the district of London, which means that you may bring a claim to enforce your consumer protection rights in connection with these Conditions of Use in the United Kingdom or in the EU country or any other world area where you live. 13. RIGHTS TO CHANGE POLICIES

13.1 We reserve the right to make changes to any PERSEO Services, policies, terms, and conditions including these General Terms of Usage at any time. You will be subject to the terms and conditions, policies, and Conditions in force at the time you use the Service.

13.2 We will inform you via email about future changes with prior notice of sixty (60) days, where applicable.

14. WAIVER

If you breach these General Terms of Usage and we take no immediate action, we will still be entitled to use our rights and remedies in any other situation that may occur.

15. CHILDREN

All the items available for sale inside our TV Portals are safe to be viewed also by children. However, we do not sell products for purchase by children. We sell children's products for purchase by adults only. If you are under 18, you may use Perseo Services only with the involvement of a parent or legal guardian.

17. HOW TO NOTIFY CLAIMS OF RIGHTS INFRINGEMENTS

17.1 You can address your claims for rights infringements to our legal staff by contacting us through our legal concern platform. Please make sure to provide all possible proof to demonstrate that you are entitled to make such a claim. Once we receive your claim we will investigate your case and take appropriate action to resolve it.

17.2 Important Warning: providing false, misleading, or inaccurate information in the Notice Form to PERSEO may result in civil and/or criminal liability. You should contact a legal advisor should you have specific questions.

18. HOW TO NOTIFY DEFAMATORY CONTENT

18.1 PERSEO makes its best effort to monitor each comment or review hosted on PERSEO TV Portals; however, we cannot be aware of every single one. Accordingly, we operate on a “notice basis”. If you believe that any content displayed in our product details or “offer of the day” may contain a defamatory statement, we welcome you to notify us right away by accessing our legal concern platform.

18.3 Important Warning: providing false, misleading, or inaccurate information in the notice to PERSEO for defamatory content on PERSEO TV Portals may result in civil and criminal liability. Please make sure to send us legitimate and genuine claims.

GENERAL TERMS OF SALE

The following terms and conditions of sale apply to any sale of products and/or services within PERSEO TV Portals. You will also be subject to the terms, guidelines, and conditions applicable to that PERSEO Service (“Service Term”).

1. OUR CONTRACT

1.1 Your order recorded on PERSEO TV Portals constitutes an offer to PERSEO to buy your selected single or multiple products in your order cart.

1.2 You can decide to pay for your desired products via bank wire transfer or credit card (see article 2 “Payment Management” hereinafter). Once you complete your order from PERSEO Services, you will receive within seconds our confirmation receipt for your order that contains a complete list and details of your ordered items (see article 3 “Order Details Confirmation” hereinafter).

1.3 Inside your customer account area, you will find your sales order(s) in electronic format (PDF). Furthermore, we will inform you when your order is ready for shipment by updating your order status (see article 3 “Order Details Confirmation” hereinafter).

1.4 In case your items are managed directly by PERSEO, we will ship your order with one of our couriers and provide you with our courier tracking ID to follow up your shipping.

1.5 In case your items are supplied by our sales affiliate partners, we will inform you when your order is ready for shipping and we will supply you with the courier code supplied by our sales affiliate partner.

Please note that you can buy from PERSEO TV Portals any items you may like without a limit on the amount. We recommend that you check whether there are enough quantities in stock. You can check product stock quantities directly on each product detail page.

1.6 Important note: Our advanced TV Portals platform is set up so that it will never complete sales in case the products are not available in stock. In this case, you will display a button “NOTIFY ME”. This feature allows you to get informed when that product(s) will be again available on PERSEO TV Portals.

2. ACCEPTED PAYMENT AND GUIDELINES

2.1 Payment via Bank Wire Transfer

PERSEO accepts payments via bank wire transfer in Euro (€), United States Dollars (US$), British Pounds (£), and Swiss Francs (CHF). The range of currencies offered is intended to allow our customers to pay as they prefer and within their country's jurisdiction to avoid additional bank surcharges.

If you want to pay for your desired PERSEO Services via bank, you need to select in your cart check-out process (Payment Area) “Bank Payments” and then complete your order. You will receive within seconds an email with your order receipt containing our bank coordinates to clear your invoice.

Our banks are located in London, UK for BACS payments in GBP (£); in the USA for ACH payments in USD ($); and in Belgium for SEPA payments in Euro (€). Our sales manager will send you the banking coordinates most appropriate to your country of residence.

2.2 Payment via Credit Cards

PERSEO works with different secure merchant card processors like PayPal, 2CheckOut, Stripe, etc. If you want to pay for your desired PERSEO Services with credit card, you need to select in your cart check-out process (Payment Area) “Credit card payments” and then complete your order.

You will display a message from our check-out system about your entry and you will be transferred to our credit card merchant processor to complete your payment.

Once your payment is completed, you will display a message from our merchant bank processor that the transaction has been settled and you will be transferred back to our TV Portals. At the same time, you will receive within seconds your order detail confirmation via email with the payment status “Confirmed” or “Paid”.

3. ORDER DETAILS CONFIRMATION

Once you complete your payment (see article 2 above) you will receive within seconds your order confirmation receipt to your registered account email address.

Inside your order receipt you will find the following information:

1. Order number
2. Your complete data information
3. Product Code (SKU)
4. Product Name
5. Product Status (Confirmed or Paid)

4. CANCELLATION RIGHT UP TO 14 DAYS, APPLICABLE CASES OF EXCEPTION

4.1 STATUTORY RIGHT

4.1.1 All private customers can cancel their order without giving any reason within 14 days from the day on which you, or a third party indicated by you, receives the goods purchased at home. The delivery date released by our courier will be taken as the starting date.

4.1.2 To proceed with the return of your order, you need to inform us about your decision to cancel your order by accessing our Customer Management Area. Once you submit your return, our system will assign you automatically a ticket ID, which will allow you to follow up on all communication related to your inquiry. You will receive via email a copy of your ticket entry that will be handled by our customer care within 2 business days from the date of receipt.

4.1.3 To meet the cancellation deadline, it is sufficient for you to send your communication before the 14 days of the cancellation period expires.

In case of difficulties about how to proceed with your cancellation right, please feel free to contact our customer service at any time.

4.2 EFFECTS OF CANCELLATION

4.2.1 Once we receive your order cancellation request, we will ask you to:

1. Return all the items you purchased from Perseo Services to our address, in case the items you ordered are supplied directly by PERSEO; or
2. Return all the items you purchased from Perseo Services to our sales affiliate partner address. In this specific case we will send you our affiliate partner’s address coordinates.

4.2.2 Important notice: We remind you that you need to send your refused items fully sealed with original packages, manual instructions, and a full set of accessories. If you open a package, you may automatically lose your right to return it. We may withhold reimbursement until we receive the goods back, or you have supplied evidence of having sent back the goods, whichever is earliest.

4.2.3 Once PERSEO or our affiliate sales partner receives the items of your order, they will be inspected and then you will be notified via email if everything received is perfect.

4.2.4 You will have to bear the direct cost of returning these items.

4.3 EXCEPTIONS TO THE RIGHT OF CANCELLATION

The right of cancellation does not apply to:

4.3.1 the delivery of products that are not suitable for return due to health protection or hygienic reasons if unsealed by you after delivery, or which are, after delivery, inseparably mixed with other items;

4.3.2 the supply of goods that may deteriorate or expire quickly;

4.3.3 a service if PERSEO has fully performed it and you accepted, when you placed your order, that we could start to deliver it and that you could not cancel it once delivery had started.

5. PRICING AND AVAILABILITY

5.1 All item prices listed on Perseo TV Portals are VAT included. VAT may change from country to country and may follow the jurisdiction of each of our sales affiliate partners. In our case, the applicable VAT is 20% for the UK.

5.2 You can find the availability of products in stock on each product detail page and in “Deal of the Day” pages. Our system will never complete any order entry in case the products are unavailable. For “Deals of the Day”, you will display the number of maximum deals available for that special price, with a graphic indicator that will display how many deals are left to reach the goal.

5.3 Please note that unless otherwise stated on the website, the delivery date indicated on PERSEO TV Portals is indicative. They are not guaranteed delivery times and should not be relied upon as such.

5.4 All PERSEO Services item prices are constantly updated. So you are guaranteed to buy your desired products at the best price offer we can supply at that time.

5.5 For some products that may reach a high market price, we will make our best effort to keep them as low as we can; in case we will not be able to guarantee low prices, PERSEO will suspend or delete those products from PERSEO TV Portals marketplace.

6. PRODUCT INFORMATION

6.1 Each product available for sale in PERSEO TV Portals is not necessarily manufactured by PERSEO. For this reason, we do our best to provide you with the best information to present each product properly, but you may find some different information inside the manufacturer’s packages, such as type of materials or ingredients the manufacturer used to produce that item.

We recommend that you do not rely solely on the information presented on our website. Please always read the labels, warnings, and directions provided with the product before any usage.

6.2 For healthcare products, we welcome you to always read carefully the guideline information provided with the product by the manufacturer.

8. OUR LIABILITY

8.2 We are not liable for:

8.2.2 any dealings you have with third parties (e.g. suppliers of goods or services or advertisers) that take place using or are facilitated by the PERSEO TV Portals marketplace; or

8.2.3 any liability for losses which are not a foreseeable or likely consequence of (i) your use of the PERSEO TV Portals marketplace, or (ii) a breach by us of these General Terms.

8.3 We are not responsible if you cannot use the PERSEO TV Portals properly or at all because of any event outside our control (e.g. the performance of your or our internet service provider, your browser, or the Internet.)

8.4 The PERSEO TV Portals rely in part on software to function. Software can occasionally have bugs. Whilst we monitor all our TV Portals and try to fix bugs promptly, we do not guarantee that we will never experience some error bugs. All PERSEO TV Portals are constantly monitored and protected against any attack from hackers and/or viruses.

8.5 Nothing in these General Terms affects any liability which we may have for death or personal injury arising from our negligence, fraud, or any other liability which cannot be excluded or limited by law.

9. APPLICABLE LAW

These General Terms of Usage and these General Terms of Sale are governed by and construed under the laws of the United Kingdom, and the application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded. We both agree to submit to the non-exclusive jurisdiction of the courts of the district of London City, which means that you may bring a claim to enforce your consumer protection rights in connection with these General Terms and Conditions of Sale in the United Kingdom or in the EU country in which you live.

10. AMENDMENTS TO THE CONDITIONS OF SALE

10.1 We reserve the right to make changes to our TV Portals marketplace, product listings, product descriptions, to suspend or to delete some PERSEO Services, as well as to amend the terms and conditions, including these Conditions of Sale, at any time.

10.2 You will be subject to the General Terms of Usage and the General Terms of Sale in force at the time that you order products from us, unless any change to those terms and conditions, policies, or these general terms of sale is required to be made by law or government authority, in which case it will also apply to orders previously placed by you.

11. WAIVER

If you breach these General Terms of Sale and we take no action, we are still entitled to use our rights and remedies in any other scenario where you breach these General Terms of Sale.
